Frederick henderson

Non-executive Chair of the Board

As non-executive chair of the board since October 2018, Frederick Henderson has senior management experience in automotive and manufacturing industries, with deep expertise in general management, strategic planning and financial operations.

Henderson served as interim CEO of Adient from June 2018 to September 2018. Previously, he served as chairman and CEO of SunCoke Energy Partners GP and SunCoke Energy until his retirement in December 2017. Henderson also served as senior vice president for Sunoco, Inc. (prior to the SunCoke Energy spinoff) and as a consultant to General Motors and AlixPartners.

Henderson worked for General Motors for 26 years in several executive management roles, including president and chief executive officer, president and chief operating officer, and vice chairman and chief financial officer.

He serves as Lead Independent Director and chair of the Nominating and Governance Committee of Marriott International, Inc. Henderson is also chair of the board of trustees of the Alfred P. Sloan Foundation and is a Principal of The Hawksbill Group. He previously served as non-executive chairman of the board of directors of Arconic Corp. until 2023, a director of Compuware Corp. until 2014and as a director of Horizon Global Corporation until 2022.

Henderson holds a Master of Business Administration from Harvard Business School and a Bachelor of Business Administration from the University of Michigan. He is also a certified public accountant.

Julie l bushman

Executive Vice President (retired), International Operations, 3M Company

Julie Bushman served as executive vice president of International Operations at 3M until her retirement in 2020. She brings to the board deep experience in manufacturing, information technology and global business experience.

Bushman previously served as 3M’s senior vice president of Business Transformation and Information Technology, executive vice president of the Safety, Security and Protection Services business and as executive vice president of the Safety and Graphics business. In 2006, she was named division vice president of the Occupational Health and Environmental Safety Division. She was appointed chief information officer in 2003 after joining 3M in 1983.

Bushman served as a director of Johnson Controls from 2012 to 2016.

She currently serves as a director and a member of the Audit Committee and Public Policy Committee at Phillips 66 Company, and a director and a member of the Audit Committee at Bio-Techne Corp. She holds a bachelors degree from the University of Wisconsin-River Falls.

Peter Carlin

Senior Technical Advisor, Gamestop

Peter Carlin currently serves as Senior Technical Advisor at GameStop Corp, an American video game, consumer electronics and gaming merchandise retailer. Prior to joining GameStop, Carlin was a senior analyst at Saddle Point Management, L.P., a private investment firm. His experience working with financial institutions through the capital markets brings valuable expertise to the Board.

Prior to Saddle Point, he was a professional investor and served as managing director at Blue Harbour Group from 2014 to 2020. Carlin was also Managing Member of Estekene Capital from 2009 to 2013. Carlin began his career at Morgan Stanley in the Mergers & Acquisitions Group.

Carlin also served as a director and a member of the Audit Committee, Nominating & Governance Committee and Risk Oversight Committee of Investors Bancorp, Inc., from 2017 to 2019.

He earned his MBA from Columbia Business School, a JD from Columbia Law School, and a BA from the University of Pennsylvania.

Rick dillon

Executive Vice President And Chief Financial Officer, Vestis Corporation

Rick T. Dillon currently serves as the executive vice president and chief financial officer of Vestis Corporation (formerly Aramark Uniform Services), a leading business-to-business uniform and workplace supplies provider in North America. Vestis has a comprehensive service offering including a full-service uniform rental program, clean room and other specialty garment processing, floor mats, towels, linens, managed restroom services and first aid supplies. Prior to joining Aramark in 2022, he was the executive vice president and chief financial officer of EnerpacTool Group.

Prior to that, Dillon served as executive vice president and chief financial officer of Century Aluminum Co.; in several leadership roles at Joy Global Inc., including vice president of finance for its global surface mining group and vice president, controller and chief accounting officer; as vice president of business planning and analysis and vice president, controller and chief accounting officer at Newell Brands; and as vice president, controller and chief accounting officer at Briggs & Stratton Corporation.

He serves on the Board of Directors of College Possible Milwaukee, a national organization dedicated to making college admission and success possible for low-income and underrepresented students. Dillon is also a member of the Marquette University Board of Trustees.

Dillon is a graduate of Marquette University’s College of Business, earning an Honors B.S. in Accounting. He earned a Master of Business Administration from the Kellogg School of Management at Northwestern University.

Jerome Dorlack

President and Chief Executive Officer, Adient

Jerome Dorlack is Adient’s president and chief executive officer (CEO).

Dorlack previously served as executive vice president and chief financial officer from 2022 to 2023, executive vice president, Americas from 2019 to 2022 and vice president and chief purchasing officer of Adient until 2019 after joining the company in 2018.

Before Adient, he was senior vice president and president of electrical distribution systems and president of South America operations for Aptiv.

Prior to that, he worked at Delphi, where he served as vice president powertrain and general manager, powertrain products.

Dorlack spent 17 years in various positions at ZF/TRW Automotive, ranging from engineering, commercial, quality, and operations and purchasing.

He earned a bachelor’s degree in engineering and a master’s degree in business administration from the University of Toledo.

Senior Vice President and Chief Information and Digital Officer (CIDO), Boston Scientific Corporation

Jodi Eddy currently serves as senior vice president and chief information and digital officer (CIDO) at Boston Scientific Corporation. As a global medical technology leader for more than 40 years, the company provides a broad range of high performance solutions that address unmet patient needs and reduce the cost of healthcare.

Eddy joined Boston Scientific in 2013 and has been the chief information officer since 2015. She added responsibility for Boston Scientific’s digital activity as Chief Digital Officer in 2020. In her current role, she leads the company’s information technology organization and expanded digital teams worldwide, overseeing the company’s strategy for digital health, data analytics and cyber security capabilities.

Prior to joining Boston Scientific, Eddy progressed through several roles of increasing leadership in information systems during her 18-year tenure at General Electric, including serving as the commercial chief information officer for the Oil and Gas business.

Eddy earned a Bachelor of Science degree in computer science from Southern Connecticut State University. In addition, she was awarded an Honorary Doctorate Degree of Science from her alma mater for lifetime achievement and contributions to the computer science field.

Richard goodman

Executive Vice President (Retired), PepsiCo

Richard Goodman provides corporate financial management, risk management and merger / acquisition experience from his executive positions at PepsiCo and W. R. Grace & Co.

At PepsiCo, Goodman served as Chief Financial Officer from 2006 to 2010 and as Executive Vice President of Global Operations from 2010 until his retirement in 2011. He joined PepsiCo in 1992 and held several senior financial positions, including CFO of PepsiCo International, CFO of PepsiCo Beverages International, General Auditor and CFO of Taco Bell.

He started his career in 1979 at W. R. Grace & Co., where he served in a variety of senior finance roles, including CFO of the Specialty Chemicals Division, CFO of the Industrial Cocoa Division and assistant to the Chairman and CEO.

Goodman previously served as a director of The Western Union Company until 2023, Pattern Energy Group until 2020, Kindred Healthcare until 2018, and Johnson Controls until 2016.

Jose Gutierrez

Senior Executive Vice President (retired), AT&T Services Inc.

José Gutiérrez has more than 30 years of experience leading business transformations and creating shareholder value. He served as senior executive vice president and chief of staff to the chairman and CEO of AT&T from 2015 until his retirement at the end of 2016.

Prior to assuming this position and over his 25-year career at AT&T, Gutiérrez held numerous senior executive positions, including president of AT&T Wholesale and Access Solutions, president and CEO of AT&T Advertising Solutions, president of AT&T Global Enterprise Solutions, and president and CEO of Southwestern Bell.

Gutiérrez serves as a director, chair of the Audit and Finance Committee, and member of the Compensation and Incentives Committee of Denny’s Corp.; he previously served as a director of Dr. Pepper Snapple Group until 2018.

Gutiérrez earned a Master of Management (MBA) from the Kellogg Graduate School of Management at Northwestern University. He earned a Master of Accountancy and a Bachelor of Accountancy summa cum laude, both from the University of Missouri.

Barb samardzich

Vice President and Chief Operating Officer (Retired), Ford of Europe

As an experienced global leader, Barb Samardzich brings significant international automotive industry experience to Adient’s board.

Samardzich served as Vice President and Chief Operating Officer of Ford of Europe from November 2013 until her retirement in October 2016. After joining Ford in 1990, she held a number of leadership roles in product development, powertrain engineering, and powertrain operations. Prior to Ford, Samardzich worked as a thermal design engineer in Westinghouse Electric’s nuclear fuels division.

She serves as Lead Director of BRP, Inc., and as a director of Amogy Inc. Samardzich previously served as a director of MTS Systems and as a member of its Compensation Committee until 2017; as a director of Velodyne LiDAR and as a member of its Audit Committee and chair of its Compensation Committee until 2021; and as a director of AB SKF until 2022.

Among her many honors, Samardzich was named one of the 25 Leading Women in European Auto Industry by “Automotive News” in 2016, an “Automobilwoche” magazine Top 50 Automotive Women (Frauen der Autobranche) for 2011 and an “Automotive News” All Star for 2009 and 2010.

Samardzich holds a Bachelor of Science in Mechanical Engineering from the University of Florida, a Master of Science in Mechanical Engineering from Carnegie Mellon University, and a Master of Science in Engineering Management from Wayne State University.
